Terms of Service
Welcome to PrxmptStudix. These Terms of Service ("Terms") govern your use of the PrxmptStudix software, website, and related services (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by these Terms.
1. Description of Service
PrxmptStudix is a local-first development workspace designed for prompt engineering, large language model (LLM) experimentation, and workflow automation. It is provided as a professional tool to be run on the user's own hardware.
2. License Grant & Software Ownership
2.1 License
Subject to your compliance with these Terms, PrxmptStudix grants you a non-exclusive, non-transferable, worldwide license to use the Software on your personal or professional hardware.
2.2 Perpetual Use
For "Lifetime" or "One-Time Payment" tiers, your license to the specific version of the Software purchased (and subsequent minor updates within that version branch) is perpetual. PrxmptStudix does not utilize remote "kill-switches" to disable your local instance of the software.
2.3 Restrictions
You may not:
Reverse engineer, decompile, or disassemble the Software.
Redistribute, sell, or lease the Software to third parties without prior written consent.
Use the Software for any illegal or unauthorized purpose.
3. Local-First Architecture & Data Privacy
3.1 Data Residency
PrxmptStudix is designed with a privacy-first, local-first architecture.
Your prompts, datasets, persona profiles, and experiment results are stored exclusively on your local machine or your designated cloud storage (e.g., local database files).
We do not host, store, or have access to your private data on our servers.
3.2 Security Credentials
Any API keys (e.g., for OpenAI, Anthropic, Gemini, or other providers) are stored locally and encrypted using standard system-level practices. PrxmptStudix never transmits these keys to our own servers. It is your responsibility to maintain the security of your local environment.
3.3 Minimal Data Collection
PrxmptStudix collects minimal to zero information. We may occasionally verify license keys via a secure handshake with our authentication provider strictly for the purpose of granting software access. We do not track your prompt usage, model selections, or project contents.
4. Third-Party AI Providers
4.1 Direct Provider Relationship
PrxmptStudix acts as a client interface for third-party LLM providers. You are responsible for:
Maintaining your own accounts with providers (OpenAI, Anthropic, Google, etc.).
Paying the direct costs associated with your use of their APIs.
Complying with their respective Terms of Service and Privacy Policies.
4.2 Disclaimer of Provider Stability
PrxmptStudix is not responsible for the availability, latency, or content changes of third-party AI models. If a provider ceases service or changes their API, PrxmptStudix will attempt to update the Software but cannot guarantee continued compatibility if the third party makes breaking changes.
5. User Content Ownership
You retain 100% ownership of all prompts, outputs, and intellectual property generated through the use of the Software. PrxmptStudix makes no claim to your work.
6. Payments & Refunds
One-Time Payments: All fees for lifetime licenses are one-time payments.
Refund Policy: Due to the nature of downloadable software, refunds are generally handled on a case-by-case basis. Please contact support within 14 days of purchase if you encounter technical issues that cannot be resolved.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
8. Limitation of Liability
In no event shall PrxmptStudix or its creators be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your access to or use of the Software.
Any conduct or content of any third party.
Unauthorized access, use, or alteration of your transmissions or content.
9. Termination
You may terminate these Terms at any time by ceasing all use of the Software and deleting all copies from your hardware. PrxmptStudix may terminate your license if you violate Section 2.3 (Restrictions) of these Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the Software creators reside, without regard to its conflict of law provisions.
